OKX-SHOP Terms and Conditions
These Terms and Conditions (hereinafter referred to as the "Terms") are entered into between OKX-SHOP E-Commerce Platform (hereinafter referred to as "OKX-SHOP", "we", "us" or "our"), a platform operated by OKX Group, and you (hereinafter referred to as "User", "you" or "your"), including both buyers (hereinafter referred to as "Buyers") and merchants settled on the Platform (hereinafter referred to as "Merchants"). These Terms govern your access to and use of the OKX-SHOP website, its related services, tools, and all content provided thereon (collectively referred to as the "Services"). By accessing, registering for, or using the Services, you irrevocably accept and agree to be bound by these Terms, including any additional policies, guidelines, or rules referenced herein or linked to the Services. If you do not agree to these Terms, please do not access or use the Services.
1. Introduction
1.1 Welcome to OKX-SHOP
Before using the OKX-SHOP website (the "Website") or opening an OKX-SHOP account (the "Account"), please carefully read these Terms to understand your legal rights and obligations with respect to OKX-SHOP. The "Services" we provide include (a) the Website; (b) services provided through the Website and the OKX-SHOP client software; (c) all information, linked pages, functions, data, text, images, photos, graphics, music, sounds, videos, messages, labels, content, programming, software, application services (including but not limited to any mobile application services), or other materials provided through the Website or its related services (the "Content"). Any new features added to or enhancing the Services are also subject to these Terms. These Terms govern your use of the Services provided by OKX-SHOP.
1.2 Nature of the Services
The Services include an online platform that provides a venue and opportunity for the sale of commodities between Buyers and Merchants (collectively "Users" or "Parties"). The actual sales contract is entered into directly between the Buyer and the Merchant. OKX-SHOP is not a party to such contract or any other contract between the Buyer and the Merchant, and shall not be liable for any obligations related to any such contract. The Parties to such transactions shall bear full responsibility for the sales contract, commodity listings, purchase guarantees, etc., between them. OKX-SHOP does not participate in the actual transactions between Users, nor does it pre-screen Users or the content/information provided by Users (whether pre-screened or not), but reserves the right to delete any content or information you post on the Website in accordance with Section 6.4 of these Terms.
1.3 Acceptance of Terms and Privacy Policy
Before becoming a User of this Website, you must read and accept all the terms and conditions of these Terms, as well as all affiliated terms related to these Terms, and agree to the processing of your personal data in accordance with the instructions in the linked Privacy Policy.
1.4 Changes and Termination of Services
OKX-SHOP reserves the right to change, modify, suspend or terminate all or any part of the Website or Services at any time or upon notice in accordance with local legal requirements. Some Services or features may be released in beta version, which may not operate normally or be different from the final version, and OKX-SHOP shall not be liable for any damages arising therefrom. We may also, in our sole discretion, restrict certain features or your access to part or all of the Website/Services without prior notice or liability.
1.5 Refusal of Services
OKX-SHOP reserves the right to refuse to provide you with access to the Website/Services or allow you to open an Account for any reason.
By using the OKX-SHOP Services or opening an Account, you irrevocably accept and agree to the terms of this Agreement, including the additional terms and policies referenced and/or linked herein. If you do not agree to these Terms, please stop using the Services or accessing the Website. If you are under 18 years of age or have not reached the legal age of consent in your country/region (hereinafter referred to as the "Legal Age"), you must obtain the permission of your parent or legal guardian to open an Account, and such parent/guardian must agree to these Terms. If you are not sure whether you have reached the Legal Age or do not understand this section, please seek help from your parent/guardian before creating an Account. If you are the parent or legal guardian of a minor's Account, you must accept the terms of this Agreement on behalf of the minor and bear full responsibility for all uses of the Account and related Services.
2. Privacy
2.1 Privacy Policy
Your privacy is very important to OKX-SHOP. To better protect your rights, we have formulated a Privacy Policy that details our privacy practices. Please review the Privacy Policy to understand how OKX-SHOP collects, uses, discloses and/or processes information related to your Account and/or use of the Services (hereinafter referred to as "User Information"). By using the Services or providing information on the Website, you:
(i) Agree that OKX-SHOP may collect, use, disclose and/or process your Content, personal data and User Information in accordance with the Privacy Policy;
(ii) Agree and acknowledge that your User Information is jointly owned by you and OKX-SHOP;
(iii) Shall not directly or indirectly disclose User Information to any third party, or allow any third party to access or use User Information, without the prior written consent of OKX-SHOP.
2.2 Processing of Third-Party Personal Data
Users who use the Services and hold personal data of other Users (hereinafter referred to as "Recipients") hereby agree to: (i) comply with all personal data protection laws applicable to such data; (ii) allow Users who have provided their personal data to them (hereinafter referred to as "Disclosers") to delete such data from their databases; (iii) allow Disclosers to review all information collected about them in accordance with applicable laws.
3. Limited License
3.1 License to Access and Use
OKX-SHOP grants you a limited, revocable license to access and use the Services in accordance with the terms and conditions of these Terms. All proprietary content, trademarks, service marks, brand names, logos and other intellectual property rights (hereinafter referred to as "Intellectual Property Rights") displayed on the Website are the property of OKX-SHOP and the third-party owners identified on the Website (if applicable). No party accessing the Website is granted the right or license to use or reproduce any Intellectual Property Rights, nor may they claim any rights, ownership or interests therein.
You agree to comply with copyright, trademark, service mark and all other applicable laws protecting the Services, the Website and its Content, and shall not copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell any part of the Services, the Website or its Content, or create derivative works thereof. Without our prior written consent, you shall not mirror or frame any part or all of the Website on any other server or as part of any other website. In addition, without our prior written consent, you shall not use any robots, crawlers, other automated devices or manual processes to monitor or copy our Content (except for standard search engine technologies adopted by Internet search websites, which are deemed to have obtained consent).
3.2 License to Link
You are welcome to link to this Website from your own website, provided that your website does not imply any endorsement or affiliation with OKX-SHOP. You acknowledge that OKX-SHOP may, in its sole discretion, stop providing part or all of the Services at any time without prior notice.
4. Software
4.1 Software Use
Any software provided to you as part of the Services is subject to these Terms. OKX-SHOP reserves all rights related to the software not explicitly granted to you in this Agreement. Third-party scripts and codes linked to or referenced by the Services are licensed to you by their owners, not by OKX-SHOP.
5. Accounts and Security
5.1 Account Registration and Management
Some features of the Services require registering an Account by selecting a unique user identifier (User ID) and password, and providing relevant personal information. If the User ID you select is deemed offensive or inappropriate by OKX-SHOP in its sole discretion, we have the right to suspend or terminate your Account. Your Account may be used to access other products, websites or services enabled, cooperated with or bundled by OKX. OKX-SHOP has not reviewed the content, functions, security, services, privacy policies or other practices of these third-party products/websites/services and shall not be liable for any damages arising therefrom. If you use these third-party products/websites/services, their respective terms and privacy policies shall apply.
5.2 Account Security Responsibility
You agree to: (a) keep your password confidential and use only your User ID and password when logging in; (b) log out of your Account at the end of each session; (c) immediately notify OKX-SHOP of any unauthorized use of your Account, User ID and/or password; (d) ensure that your Account information is accurate and up-to-date. You shall bear full responsibility for all activities occurring under your User ID and Account, even if such activities are not performed by you personally. OKX-SHOP shall not be liable for any loss or damage caused by the unauthorized use of your password or your failure to comply with the provisions of this Section.
5.3 Account Suspension, Freezing and Termination
You agree that OKX-SHOP may, for any reason and in its sole discretion, immediately suspend, freeze, terminate your Account and User ID, delete or discard relevant Content, revoke subsidies, cancel relevant transactions, temporarily or permanently withhold sales proceeds/refunds, and take any other actions we deem necessary. Reasons for such actions include but are not limited to: (a) long-term inactivity; (b) violation of the letter or spirit of these Terms; (c) illegal, fraudulent, harassing, defamatory, threatening or abusive behavior; (d) owning multiple User Accounts; (e) purchasing products on the Website for commercial resale purposes; (f) abnormally/excessively purchasing products from the same Merchant/related group of Merchants; (g) abuse of coupons (including reselling coupons, selling coupons/points at a high price, or abnormally/excessively using coupons); (h) behavior that harms the commercial interests of other Users, third parties or OKX-SHOP. Using the Account for illegal, fraudulent, harassing, defamatory or abusive purposes may be reported to law enforcement agencies without prior notice. If a legal dispute/law enforcement action related to your Account or use of the Services occurs, OKX-SHOP shall not be liable for any damages.
5.4 Account Termination
A User may terminate their Account by notifying OKX-SHOP in writing (including sending an email to support@okx-shop.com). Despite the termination of the Account, the User shall still be liable for all unfinished transactions (whether started before or after termination), commodity transportation, commodity payment, etc., and must promptly contact OKX-SHOP and complete all unfinished transactions in accordance with these Terms. OKX-SHOP shall not be liable for any damage caused by actions taken pursuant to this Section, and the User waives any claims against OKX-SHOP for such actions.
5.5 Geographical Restrictions on Service Use
You may only use the Services and/or open an Account in countries/regions approved by OKX-SHOP from time to time.
6. Terms of Use
6.1 Termination of License
The license to use this Website and the Services remains in effect until terminated. The license will terminate if you fail to comply with any terms or conditions of these Terms. OKX-SHOP may implement the termination with or without notice to you.
6.2 Prohibited Behaviors
You agree not to engage in the following behaviors:
(a) Upload, post, transmit or otherwise provide any illegal, harmful, threatening, abusive, harassing, terrifying, infringing, defamatory, vulgar, obscene, hateful, racially discriminatory or otherwise objectionable Content;
(b) Violate any laws, including but not limited to laws and regulations related to import and export restrictions, third-party rights, and prohibited and restricted items policies;
(c) Upload, post, transmit or otherwise provide inappropriate Content involving minors, or use the Services to harm minors;
(d) Use the Services or upload Content to impersonate any individual/entity, or distort the relationship with an individual/entity;
(e) Forge identifiers or manipulate identifiers to disguise the source of Content;
(f) Delete any ownership notices from the Website;
(g) Modify, create derivative works or translate the Services without the explicit permission of OKX-SHOP;
(h) Use the Services for the benefit of a third party or in a manner not authorized by this Agreement;
(i) Use the Services or upload Content in a fraudulent, unreasonable, false, misleading or deceptive manner;
(j) Open and/or operate multiple User Accounts in violation of the letter or spirit of these Terms;
(k) Use emulators, robots or other similar hardware/software to access the OKX-SHOP platform, open an Account or log in to a User Account;
(l) Manipulate commodity prices or interfere with other Users' commodity listings;
(m) Take any actions that may damage the feedback/rating system;
(n) Attempt to decompile, reverse engineer, disassemble or crack the Services (or any part thereof), or damage or circumvent the encryption technologies/security measures we implement for the Services and data;
(o) Obtain or collect information about other Account holders, including personal data/information;
(p) Upload, send emails, post, transmit or otherwise provide Content that you have no right to provide (such as internal information, proprietary and confidential information obtained through an employment relationship/confidentiality agreement);
(q) Upload, send emails, post, transmit or otherwise provide Content that infringes any party's patents, trademarks, trade secrets, copyrights or other Intellectual Property Rights;
(r) Upload, send emails, post, transmit or otherwise provide unsolicited advertisements, promotional materials, spam, chain letters, pyramid schemes or other forms of unauthorized solicitation;
(s) Upload, send emails, post, transmit or otherwise provide materials containing computer viruses, worms, Trojan horses or other codes/programs designed to interfere with or damage the functions of computer systems/hardware/data;
(t) Disrupt the normal dialogue process, cause the screen to scroll too fast, or negatively affect other Users' ability to communicate in real time;
(u) Interfere with, manipulate or damage the Services, servers/networks connected to the Services, or other Users' use/enjoyment of the Services, or fail to comply with the requirements, procedures and policies of the network related to the Website;
(v) Take any actions that directly/indirectly damage, burden the servers/networks or disrupt the Services;
(w) Use the Services to intentionally or unintentionally violate any applicable local, state, national, international laws, rules, guidelines, directives, policies or regulations, including laws and requirements related to anti-money laundering/counter-terrorism;
(x) Use the Services to violate or circumvent sanctions/embargoes imposed by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union or Her Majesty's Treasury;
(y) Use the Services to invade others' privacy, track or harass others;
(z) Infringe upon the rights of OKX-SHOP, including Intellectual Property Rights and counterfeiting;
(aa) Use the Services to collect or store personal data of other Users in connection with the prohibited behaviors mentioned above;
(bb) List commodities that infringe third-party Intellectual Property Rights, or use the Services in a manner that infringes others' Intellectual Property Rights;
(cc) Guide or encourage other Users to conduct transactions outside the Website.
6.3 Content Responsibility
You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the source of such Content. That is, you (not OKX-SHOP) shall bear full responsibility for all Content uploaded, posted, emailed, transmitted or otherwise provided through this Website. You may be exposed to offensive or indecent Content. To the maximum extent permitted by applicable law, OKX-SHOP shall not be liable for any Content (including errors and omissions) or any loss/damage arising from the use/reliance on the Content of the Website.
6.4 Content Screening and Deletion
You acknowledge that OKX-SHOP and its designated personnel have the right (but not the obligation) to pre-screen, refuse, delete, stop, suspend, remove or move any Content, including Content posted by you on the Website, in their sole discretion, without any liability. Without limiting the foregoing, OKX-SHOP and its designated personnel may delete Content in the following circumstances: (i) violation of these Terms or the prohibited and restricted items policy; (ii) receipt of complaints from other Users; (iii) receipt of notices/allegations of Intellectual Property Rights infringement, legal instructions or deletion requests; (iv) the Content is otherwise objectionable. We may also block the transmission of communications (including status updates, posts, messages/chats) as part of protecting the Services/Users and enforcing these Terms. You agree that you must evaluate and bear all risks associated with the use of any Content, including reliance on its accuracy, completeness or usefulness, and to the maximum extent permitted by applicable law, shall not rely on any Content created/submitted by OKX-SHOP (including information in forums and other parts of the Website).
6.5 Information Disclosure
You acknowledge and agree that OKX-SHOP may access, store and disclose your Account information and Content for the following purposes: (a) complying with legal procedures, court orders or legitimate requests from competent government/regulatory authorities; (b) enforcing these Terms or the prohibited and restricted items policy; (c) responding to claims of Intellectual Property Rights infringement; (d) handling customer service requests; (e) protecting the rights, property or personal safety of OKX-SHOP, Users and/or the public.
7. Consequences of Violating These Terms
7.1 Penalties for Violations
Violation of these Terms may result in one or more of the following penalties:
• Deletion of commodity listings
• Restriction of Account permissions
• Suspension and subsequent termination of Account
• Criminal charges
• Civil litigation, including claims for damages, temporary/injunctive relief, etc.
7.2 Reporting Violations
If you believe that a User on the Website has violated these Terms, please contact us at www.okx-shop.com.
8. Reporting Intellectual Property Rights Infringement
8.1 Prohibition of Infringing Commodity Listings
OKX-SHOP does not allow the listing of commodities that infringe the Intellectual Property Rights of brands or other Intellectual Property Rights owners (hereinafter referred to as "IPR Owners").
8.2 Relationship Between Platform and Users
Unless otherwise explicitly stated, Users are independent individuals/enterprises and have no affiliation with OKX-SHOP. OKX-SHOP is neither an agent/representative of Users nor holds or owns any commodities listed on the Website.
8.3 Reporting Requirements
If you are an IPR Owner or its officially authorized agent (hereinafter referred to as "IPR Agent") and believe that your own/your principal's rights have been infringed, please report to us by submitting an Intellectual Property Rights (IPR) form and providing the following documents to support your claim. Please allow us sufficient time to process the information, and we will reply to you as soon as possible.
8.4 Requirements for Report Content
Reports made pursuant to this Section must be submitted in the form specified by OKX-SHOP (which may be updated from time to time) and must include at least the following content:
(a) Physical or electronic signature of the IPR Owner/IPR Agent (collectively referred to as the "Reporter");
(b) Description of the type and nature of the allegedly infringed Intellectual Property Rights and proof of rights;
(c) Description of the alleged infringement, including sufficient details to enable OKX-SHOP to evaluate the complaint;
(d) URL of the allegedly infringing commodity listing;
(e) Information sufficient to enable OKX-SHOP to contact the Reporter, such as physical address, telephone number and email address;
(f) Statement by the Reporter that the complaint is made in good faith and that the use of the Intellectual Property Rights identified by the Reporter is not authorized by the IPR Owner or law;
(g) Statement by the Reporter that the information in the notice is accurate, that the Reporter will compensate OKX-SHOP for any damage that OKX-SHOP may suffer due to the provision of the information, and that the Reporter has the appropriate rights or is authorized to handle all matters related to the complaint on behalf of the IPR Owner.
